JDS Uniphase and Optical Coating Laboratory (OCLI) have agreed to merge. The agreement, valued at approximately USD 2.8 billion, involves the exchange of 0.928 shares of JDS Uniphase common stock for each outstanding share of OCLI. Following completion of the transaction, scheduled for the first quarter of 2000, OCLI will operate as a wholly-owned subsidiary of JDS Uniphase.
OCLI makes optical thin film coatings and components for reflection, refraction, absorption and wavelength separation. The two companies have been participating in a joint venture since 1997. Under the previous agreement, OCLI shared its expertise in optical thin film technology and products for WDM applications, while JDS Uniphase contributed its expertise in the design, manufacture and marketing of WDM products.
